Summary: As a member of the Martin's Family, the corporate Paralegal will provide support to legal counsel, which support will include, among other things, assisting legal counsel in managing transactions, preparing, reviewing and negotiating legal documents, legal compliance, corporate governance, litigation, corresponding and coordinating with counsel, corporate personnel and third parties, and organizing legal documents and affairs. The work is largely self-directed and requires significant independent judgement and discretion, sound organizational and analytical skills, and minimal supervision. The Paralegal should be organized, disciplined, prompt, independent, proactive, courteous, an excellent oral and written communicator, and astute.

Essential Duties and Responsibilities: include the following and other duties as assigned.

  • Recognize the potential implications of decisions and actions.

  • Identify the strengths and weaknesses of alternative solutions, conclusions, or approaches to problems.

  • Correspond orally and in writing with counsel and corporate and third parties.

  • Monitor and provide guidance on litigation related matters.

  • Prepare and review legal documents and correspondence accurately and timely.

  • Maintain legal documents and contract repository in an organized and orderly manner.

  • Monitor timelines and deadlines for contracts and certifications.

  • Track open matters and pursue the expeditious closure of the same.

  • Work with independent distributors regarding the purchase and sale of distribution rights.

  • Monitor corporate and third party compliance with contractual and legal obligations.

  • Provide honest and ethical guidance.

  • Facilitate inter-departmental communication and coordination of efforts.

  • Assist legal counsel in the review and analysis of applicable law and legal developments.

  • Assist legal counsel in the development of departmental procedures and the implementation of best practices.

  • Understand and anticipate department needs.

  • Assist legal counsel in the management and mitigation of business and legal risks.

  • Willingly accept responsibility for new tasks and pursue opportunities to add value.

    Supervisory Responsibilities:

    Assist legal counsel in the management and oversight of legal assistants.

    Education and/or Experience:

  • High School Diploma or GED.

  • Bachelor’s degree preferred.

  • Prior experience as a paralegal preferred.

    Language Skills:

  • Excellent oral and written communication abilities.

  • Ability to work with various departments and personalities effectively and efficiently.

    Mathematical Skills:

    Reasoning Ability:

  • Excellent analytical skills

  • Ability to understand complex concepts and communicate the same in concise terms.

    Computer Skills:

  • Proficient in Microsoft Word and Microsoft Excel.

  • Proficient in Outlook.

    Physical Demands:

Employees must occasionally move and/ or lift up to 10-25 pounds. Employee should be able to sit for extended periods and work at a computer and see, hear and speak regularly.
