UBS Financial Services Corporate Secretary in Toronto, Canada

Your role:

Responsibilities:

• Liaise with internal and external board members to arrange quarterly meetings of Board, Audit & Conduct Review Committees

• Preparation of agendas & supporting documentation and send to members in advance of meetings including signature approvals and cancellations, financials, strategy documents

• Drafting Board Resolutions as needed

• Preparation of minutes and maintenance of minute books, maintenance of meeting files

• Annual filings with OSFI and other regulators, ,

• Organizing board dinners

• Maintain local legal structuring database

  • Assist with documentation of Key Procedural Controls

• Review contracts, agreements & legislative developments

• Other projects as required

Requirements:

You have:

  • at least 5 years of Corporate Governance experience specifically within Financial Services, (schedule II bank would be an asset)

  • knowledge of OSFI Corporate Governance guidelines

  • 3 to 5 year of securities law experience

  • are calm under pressure and able to work within strict timelines and deadlines

  • a strong, progressive performance track record

  • a great communicator, in English (French would be an asset)

  • a self-starter who takes initiative to complete activities

Your team:

You will work in the Toronto Wealth Management office directly with the CEO, Head of Legal, Senior Management team and Board of Directors. In addition, you will work with the Chief Compliance Officer of UBS Securities Canada and UBS Asset Management Canada.
